TERMS OF SERVICE
The following agreement establishes a legally binding contract between you, as an individual or representing an organization (referred to as "Collector"), and Senties ("Senties World," "we," "us," or "our").
1. ACCEPTANCE OF TERMS
By using the Services, You represent and warrant that you are of legal age to form a binding contract with Senties World, are not associated with a company providing similar services, and meet all of the foregoing eligibility requirements. If You do not meet all of these requirements, You must not access or use the Services.
2. Updates to the Terms
These Terms of Service may be subject to occasional revisions and updates at our sole discretion. Once we publish these changes, they take immediate effect and are applicable to all future access and use of the Services. However, any modifications to the dispute resolution provisions stated in the Governing Law and Jurisdiction section will not be applicable to any disputes in which the parties were already informed prior to the date the changes were posted on the Website. By continuing to use the Services after the revised Terms of Service have been posted, you indicate your acceptance and agreement to the updated terms. We advise you to periodically review this page to stay informed of any modifications, as they are legally binding for you.
3. Description of Services
Senties World comprises a set of unique digital assets known as non-fungible tokens ("NFTs"), which are securely stored on the Ethereum blockchain.
4. Terms of Purchuse
Senties World specializes in the sale of NFTs art. Upon receipt of payment, the Collector will be provided with a unique NFT. It is important to note that the acquisition of the NFT does not include any profit-sharing entitlements, equity in Senties World, intellectual property ownership, or any additional rights.
5. Payment
Connect a Web3 Wallet like MetaMask to the Website and use Ethereum (ETH) cryptocurrency from your wallet for payment. Senties World has no control over payments or transactions, and cannot reverse any transactions. We are not liable for any claims or damages resulting from transactions conducted on the Website, via smart contracts, or through the Ethereum network or a Web3 Wallet.
You are responsible for any taxes, fees, or duties associated with your order. NFT purchases should be for personal collection, use, and enjoyment, and not for speculative or investment purposes or as a substitute for currency.
6. Ownership:
Senties World owns the intellectual property, proprietary technologies, and brand image associated with its name and mark. This includes logos, trademarks, product names, service marks, and copyrightable works such as website code, content and user interface.
7. Right to Personal Use:
Senties World grants the Collector a global, non-exclusive, assignable, perpetual, and royalty-free license to display the NFT for non-commercial purposes. This display right can only be transferred to a new Collector along with the ownership of the NFT and this Agreement.
8. Derivative Rights
Senties World grants to the Collector a complete commercial license to utilize the foundational artwork in the purchased Senties World NFT for the purpose of creating derivative works. This authorization allows the Collector to generate commercial products, with the exception of using the "Senties" or "Senties World" name or logo in connection with said product. The Collector may designate commercial products using the Senties World token ID to indicate ownership of the purchased NFT and links to the original collection artwork and "created by info" to the original Senties artist. The Derivative Rights remain in effect as long as the Collector retains ownership of the aforementioned purchased Senties World NFT at the time when the derivative work is created. Subsequent Collectors do not have any claim to ownership of derivatives produced by a prior Collector.
9. Restrictions
The Collector agrees not to utilize the acquired Senties World NFT in a derivative creation that portrays or promotes unlawful activities, or encompasses pornography, racism, obscenity, violence, libel, or slander.
10. Resale
When a collector purchases a Senties World NFT, they acknowledge and consent to the fact that these Terms are enforceable not only on themselves but also on any future collectors of the Senties World NFT, including subsequent collectors. Consequently, all individuals who acquire the purchased Senties World NFT are obliged to comply with these Terms.
11. Acceptance of Risk
Collector recognizes that website transactions, encompassing primary sales, secondary market sales, listings, offers, bids, acceptances, and other operations, involve the utilization of cutting-edge smart contract and blockchain technology, including NFTs, cryptocurrencies, consensus algorithms, as well as decentralized or peer-to-peer networks and systems. It is acknowledged and agreed upon by the Collector that such technologies are experimental, speculative, and inherently risky. They may be susceptible to bugs, malfunctions, timing errors, hacking, theft, or alterations to the protocol rules of the Ethereum blockchain (referred to as "forks"), all of which can have adverse effects on the smart contracts. Consequently, engaging in these transactions carries a risk of complete loss, forfeiture of cryptocurrency or NFT holdings, or missed opportunities to purchase or sell NFTs.
12. Warranty Disclaimer
This website and its content are provided on an "as is" and "as available" basis, without any warranties, whether expressed or implied. When using this website, the collector takes full responsibility for all transactions associated with Senties World NFT collectibles.
13. Liability Restrictions
By minting your NFT or attempting to do so, the collector acknowledges and agrees to release us, our affiliated and related companies, as well as all their respective directors, shareholders, officers, employees, contractors, representatives, licensees, and assigns from any liability arising from losses, damages, claims, costs, and expenses that may be incurred as a result of such actions.
14. Privacy
Collector acknowledges that Senties World may collaborate with third-party applications, including Discord, Google Analytics, Twitter and others which may collect data for purposes such as NFT holder verifications or giveaways. Furthermore, Collector is aware that the Ethereum network operates as a public blockchain, meaning that all transaction history initiated via the Website will be publicly accessible.
